“Twenty One Capital held more than 43,500 bitcoin on June 8, 2026, and still needed a specific kind of hire that day: Paul S. Lalljie, a director independent enough to satisfy the New York Stock Exchange's own audit rule. Does a vacancy created by an ownership change get filled by governance alone, or does it change what the board watches?”

Twenty One Capital named Paul S. Lalljie an independent director on June 8, 2026. He also joined the board's audit committee, the company said in a press release filed with the SEC1. The appointment restored the committee's compliance with independence rules from the SEC and the New York Stock Exchange, the release said. Citybiz also reported that Twenty One strengthened “the company's governance structure as it expands its position as a Bitcoin-focused public company”2.

      A governance hire

The board found Lalljie independent under Rule 10A-3 of the Securities Exchange Act. A matching NYSE rule, Section 303A.02, applied too, the release said1. Jack Mallers, Twenty One's chief executive at the time, named governance as the reason for the hire. “Strong governance and independent oversight are critical as we build Twenty One into one of the world's leading Bitcoin companies,” Mallers said. “This appointment restores our compliance with NYSE audit committee requirements and reflects our commitment to operating with the discipline, transparency, and rigor expected of a public company”.

Tether International bought SoftBank Group's stake in Twenty One on May 19, 2026, three weeks earlier. That change opened the vacancy. SoftBank's representatives on the board stepped down at closing, including one who sat on the audit committee1. Twenty One notified the NYSE of the resulting vacancy at the time, the release said.

      Lalljie's record

Lalljie brought finance and governance experience from several companies, the release said. He served as chief executive officer and chief financial officer of the online education company 2U. Neustar had him as chief financial officer too1. Lalljie now sits on Bitdefender's supervisory board, where he chairs its audit committee. Citybiz described him as "a veteran finance and technology executive" whose background spans “public company leadership, financial oversight, corporate governance, audit committee leadership, and scaling technology-driven businesses”2.

      What to watch

Twenty One held more than 43,500 bitcoin as of June 8, 2026, the figure its release gave the same day it named Lalljie1. Watch Twenty One's next quarterly filing for Lalljie's name among committee signers, and watch whether Tether's full ownership of the SoftBank stake brings further board turnover beyond the one seat Lalljie filled.
