“Coinbase put its chief accounting officer's retirement on the public record 3 days after she gave notice, in one paragraph that opens a search and leaves her successor's name blank. Will the next Form 8-K name her successor before Coinbase files its annual report for 2026?”

Jennifer Jones, Coinbase's chief accounting officer and principal accounting officer, notified the company on Sept. 29, 2026 that she will retire, according to a Form 8-K that Coinbase filed with the Securities and Exchange Commission on Oct. 2, 20261. She keeps both roles until a successor arrives, and Coinbase has opened a search. Jones was one of three officers who signed Coinbase's annual report for 2025 on Feb. 12, 2026, beside chief executive Brian Armstrong and chief financial officer Alesia J. Haas3. TokenPost's Sonny Jang reported the filing at 4:17 p.m. EDT the same day2.

      The move

Coinbase reported the decision under Item 5.02, the part of Form 8-K for officer departures and appointments, and Haas signed the filing1. Its central passage speaks in the company's voice. “Ms. Jones will continue to serve in these roles until they are transitioned to a successor. Coinbase has initiated a search of potential candidates for the role, and Ms. Jones will work with her successor to support a smooth transition of responsibilities,” Coinbase said in the filing.

Read the verbs. "Will continue," "has initiated" and "will work with" describe a handover in which Jones stays in the job while the search runs. Coinbase added a sentence on her reasons: “Her decision to retire is not the result of any disagreement with Coinbase on any matter relating to its operations, policies, or practices”1. TokenPost carried the same point in its own words2.

Coinbase's sign-off chain before and after

What does the role sign? Jones signed the annual report on Form 10-K as Chief Accounting Officer and Principal Accounting Officer, the third officer signature after Armstrong's and Haas's3. Coinbase's quarterly report for the three months ended June 30, 2026 carries two officer signatures, Armstrong's and Haas's, dated July 30, 20264. The annual report is the filing where the principal accounting officer puts a name on the record.

Coinbase has used Item 5.02 for a chief officer's exit before. A Haas-signed 8-K dated Nov. 2, 2022 reported that Chief Product Officer Surojit Chatterjee would step down effective Nov. 30, 20225. That filing also said Coinbase was reorganizing its product, engineering and design teams into product groups. The Oct. 2, 2026 filing announces a search and keeps Jones in place, so Coinbase's accounting function keeps the same officer through the transition1.

      What to watch

A new 8-K under Item 5.02 naming a chief accounting officer would close the search Coinbase disclosed on Oct. 2, 20261. The signature page of Coinbase's annual report for 2026, due in early 2027 on the pattern of the Feb. 12, 2026 filing, will show who signs as principal accounting officer3. A Jones signature there would mean the handover ran past the year's close.
