The separation
DeFi Development Corp.'s 8-K spells out what each side gave up. “Pursuant to the Separation Agreement, Mr. Janover will be entitled to receive a lump sum cash payment of $692,500 in exchange for, among other things, a mutual release of claims and modification of the existing non-competition and non-solicitation covenants in Mr. Janover's employment agreement,” the filing states1. DeFi Development Corp. also agreed to accelerate the vesting of all 70,000 of Janover's unvested restricted stock units from its 2023 Equity Incentive Plan. Investing.com's report confirmed those terms, writing that the agreement "entitles Mr. Janover to a lump sum cash payment of $692,500" and that his unvested units "will vest immediately, subject to tax withholdings"2.
Before and after the split
Janover kept his board seat even as he lost his executive title. The 8-K treats the two facts separately. Directors also approved winding down the legacy Janover Capital Markets and Janover Insurance businesses on March 31, 2026, the same date his separation took effect1. Investing.com tied the departure to a wider set of moves. The outlet reported that DeFi Development Corp. lowered its Solana per-share guidance for June 2026 to 0.085, down from a prior target of 0.1650, while keeping a long-term goal of 1.0 SOL per share by December 20282. Chairman and chief executive Joseph Onorati signed the 8-K on the company's behalf.
What to watch
The next SEC filing will show whether DeFi Development Corp. names a successor chief commercial officer or leaves the title empty. A proxy statement ahead of the company's next annual meeting will show whether shareholders keep Janover on the board under the terms his separation agreement set. Any further disclosure on Janover Capital Markets or Janover Insurance will show whether the wind-down closed those businesses cleanly or left liabilities behind.
