“DeFi Development Corp.'s own 8-K dated chief financial officer Bruce Rosenbloom's exit April 17, 2025, six days before its April 23 release told the public that John Han would succeed him. Does waiting to name a replacement before announcing an exit protect a company or just its optics?”

DeFi Development Corp. disclosed on April 23, 2025, that Bruce Rosenbloom had stopped serving as its chief financial officer on April 17, six days earlier12. The 8-K, which gives April 17 as the date of the earliest event it reports, says Rosenbloom “stepped down as the Chief Financial Officer of the Company, effective immediately” that day, six days before GlobeNewswire's April 23, 2025, release disclosed the change to the public. His decision, the filing adds, “is not due to any disagreement with the Company on any matter relating to the Company's operations, policies or practices”. GlobeNewswire's release named Fei "John" Han his successor and gave Rosenbloom a new title, executive vice president of finance. RTTNews reported the appointment on April 23, 2025, the day the public first learned of it3.

      The move

Under the company's 8-K, Rosenbloom would stay on in "a senior advisory role" and sign a separate employment or consulting agreement at a later date1. Rosenbloom spoke about the transition in GlobeNewswire's April 23, 2025 release. “I'm excited for our next chapter and for the opportunity to work along-side such an impressive team,” he said2. Blake Janover, by then chief commercial officer, praised Rosenbloom's record in the same release. “Bruce has been instrumental in guiding us through our public company journey and helping lay the groundwork for our evolution,” Janover said. “He's been a steady hand through major milestones, and we're deeply grateful for his past and future contributions.” RTTNews confirmed the shift, reporting that the company “noted that its former CFO, Bruce Rosenbloom, will remain with the company as EVP of finance”3.

DeFi Development Corp before and after

Rosenbloom had served as CFO through the company's rebrand from Janover Inc. to DeFi Development Corp., a change the same 8-K says took effect at 4:00 p.m. Eastern time on April 17, 20251. GlobeNewswire's release credited Rosenbloom with 25 years of public market experience2. After the switch, he stayed with the company in a narrower finance role rather than leaving outright, while Han took the CFO title and its broader duties. The release said Rosenbloom would use that experience to "assist with the Company's transition" in his new post.

      What came next

Han, Rosenbloom's successor, still held the top finance job in May 2026, 13 months after his appointment. He told analysts on the company's first-quarter 2026 earnings call that DeFi Development Corp. could operate for "well over two years" even in a sharp Solana price drawdown, MarketBeat reported on May 14, 20264. The report quoted Han saying management stayed "laser-focused on reducing OPEX wherever possible".
