“A chairman took on the chief executive title at the same company, on the same day his board added two directors from his old firm. Does stacking both titles on one founder strengthen a Nasdaq company or concentrate its risk?”

Amber International's board named Michael Wu chief executive on August 21, 2025, a title the Nasdaq-listed company's own release said he took on "beyond his current role as Chairman of the Board"1. Wu replaced Wayne Huo, the company's exhibit filed with the SEC said, and the board appointed Vicky Wang president on the same day.

      The move

Wu paired the appointment with two new board seats drawn from his own prior company. “We are pleased to welcome Mr. Luke Li and Ms. Vicky Wang to the Board. Their expertise and experience will make them valuable additions as we continue to drive the Company's expansion and strengthen its leadership at the intersection of traditional and decentralized finance,” Wu said in the filing1. Li had co-founded Amber Group and run its trading business, the exhibit said. Before that, he worked as a credit strategist at Morgan Stanley, from March 2015 to February 2018.

Wu's statement also closed the door on his predecessor's tenure in a single sentence. “On behalf of the Board, I would also like to thank Mr. Wayne Huo for his leadership and contribution to Amber International during his tenure as CEO,” he said1. The filing stopped at that line about Huo's departure, and citybiz reproduced the same release word for word the same day2.

      Amber International before and after

Before the appointment, Amber International operated as "Amber Premium," a subsidiary of Amber Group providing institutional crypto financial services, the exhibit said1. Wang had led the company's digital wealth management business as a partner since 2023. She had served as its sales team leader from 2021 before that. Wu already held the chairman's seat. The board handed him the chief executive title too, stacking both roles on one founder.

      What came next

Wu's double role grew heavier over the following year. A Form 6-K filed with the SEC on September 28, 2026 scheduled Amber International's annual meeting. Shareholders would vote on a one-off award of 23,469,189 Class B ordinary shares to Wu3. The filing said the award would raise his voting power "from approximately 74.1% to approximately 82.3%," based on shares outstanding as of September 23, 2026. By then the company had renamed itself AMBR. It had pivoted toward building "specialized AI agents for finance, enterprise, and growth," the same filing's director biography for Wu said. The filing listed Wang as a current director and president. It named Yi Bao, promoted to chief operating officer in August 2026, among the executives serving under Wu.
