Coinbase named Kelly Kramer to its board of directors on Dec. 16, 2020, after a nine-year run at Cisco that included the chief financial officer's job12. CEO Brian Armstrong revealed the appointment on Dec. 16 as well, pairing it with the move of Andreessen Horowitz co-founder Marc Andreessen to a full-time board role. Kramer took over as chair of Coinbase's Audit and Compliance Committee. Coinbase's stock began trading on Nasdaq four months later, in April 2021.

What the appointment covered
Armstrong described the job Kramer had held at Cisco. She was “responsible for managing the company's financial strategy and overseeing all financial functions, corporate development, acquisition program, integrations and investor relations,” he said2. Kramer had just left Cisco after nine years there. Her titles there included executive vice president and chief financial officer.
Kramer replaced Chris Dodds. He was a former Charles Schwab board member who had served on Coinbase's board for more than two years2. Coinbase's own post framed the reason for the switch in plain terms. “Chris had recently indicated his desire to transition off of the Board to spend more time on matters related to his family,” the company wrote. “We thank Chris for his keen insights and contributions to the Board and Coinbase, and look forward to his continued support of the company in the future”1.
Who Kramer was before Coinbase
Kramer arrived with two other board seats already on her resume. She sat on the boards of Snowflake, the cloud data company, and Gilead Sciences, the biotechnology firm, chairing the Audit Committee at Gilead1. That combination made her an outside-sector hire of the kind Coinbase had been assembling on purpose. Cointelegraph noted that the exchange's board drew from finance, technology and venture capital, with members recruited from companies outside cryptocurrency and enterprise blockchain alike2.
What came next
Kramer still sat on Coinbase's board as of June 2026, nearly six years after her appointment. A Form 4 filing in June 2026 showed 1,268 restricted stock units vesting into Class A shares, bringing her direct holdings to 34,919 shares. The same filing recorded a new grant of 2,657 RSUs3. Its only title for her was director of Coinbase Global, Inc., the same role Armstrong had announced on Dec. 16, 2020.
