“Core Scientific said on May 13, 2025, that audit committee chair Todd Becker's exit from its board was uncontested, as its CEO thanked him for steadying the company's finances. Does an uncontested exit still leave a bitcoin miner's audit function with one less director watching the books?”

Todd Becker stepped down from Core Scientific's board of directors effective immediately on May 13, 2025. The company said so in a release filed that afternoon through Business Wire1. Becker had joined the board in January 2024 and chaired its Audit Committee. He held that seat while the bitcoin miner carried out two capital raises and hired a new chief financial officer.

      The move

Core Scientific's release credited Becker's tenure directly. “During his tenure, he provided critical leadership and oversight as Core Scientific completed two significant capital raises that materially improved the company's balance sheet, the hiring of a new Chief Financial Officer and supported its ongoing operational and strategic objectives following its emergence from bankruptcy,” the company said1. It added that “his financial acumen and disciplined approach to governance were instrumental during a pivotal stage in the company's transformation”.

Chief executive Adam Sullivan thanked Becker in his own words. “On behalf of the Board and management team, I want to thank Todd for his dedication and service to Core Scientific,” Sullivan said. “His steady leadership and sound judgment were essential as we worked to strengthen our financial foundation and position the company for long-term success.”1 GuruFocus called the exit undisputed on May 13. The outlet wrote “there is no indication that Becker's resignation was due to any disagreements with the Board or management”2. Core Scientific's own release matched that reading: “Mr. Becker's resignation was not due to any disagreement with the Board, the Company, or management on any matter relating to the Company's operations, policies, or practices”.

      Before and after the departure

Core Scientific also said on May 13 that it had “initiated a search for a new independent director to succeed Mr. Becker on the Board”1. GuruFocus described the company at the time as a Nasdaq-listed operator of purpose-built colocation and digital asset mining facilities across several states. It was already converting some data centers toward AI-related workloads2. Becker's departure left the board short one audit-committee voice during that transition.

      What came next

Fourteen months later, on July 29, 2026, Core Scientific grew its board to seven directors3. It added Mark Adams, a former president and chief executive of Penguin Solutions, whose background spans AI infrastructure, semiconductors and data storage rather than Becker's finance and audit specialty. Sullivan's statement on July 29 focused on Adams's technology background. It stopped short of naming him as Becker's direct successor on the audit committee. “Mark brings an exceptional combination of technology leadership and operational expertise to our Board,” Sullivan said.
